END USER LICENSE AGREEMENT

The following agreement govern your use of the videogame entitled “MechWarrior 5: Mercenaries”, and any patches, updates and upgrades to such videogame, and all related content and documentation provided with or for the videogame, including but not limited to all software code, titles, themes, objects, characters, names, dialogue, catch phrases, locations, stories, artwork, animation, concepts, sounds, audio-visual effects, methods of operation, and musical compositions that are related to such videogame, and any copies of any of the foregoing, together with all related software, applications, and related services (the “Product”) currently provided or which will be provided by Piranha Games Inc. a Canadian company having its principal business offices at 303-3600 Gilmore Way, Burnaby, BC, Canada, or any one of its subsidiaries or affiliated companies (collectively referred to as “Piranha Games”):

PIRANHA GAMES - END USER LICENSE AGREEMENT

Please read this End User License Agreement (the “EULA”) carefully. This EULA governs your use of the Product. This EULA sets out the basis on which Piranha Games makes the Product available to you (“User” or “You”), and explains your rights and obligations related to your use of the Product.

By indicating your acceptance of this EULA, You agree to be bound by this EULA. If You do not agree with one of these, please do not download, install or use the Product.

  1. Amendments to this EULA

Piranha Games reserves the right, in its entire discretion, to amend this EULA from time to time. Piranha. In this case, You will be notified at least thirty (30) days before the effective date of the amendment. Games will provide You with digital access to the amended EULA through the Product or other means. If any amendment to this Agreement is not acceptable to You or cause You to no longer be in agreement or compliance with this EULA, You may terminate this Agreement in accordance with Article 111. In such a case, You must immediately stop using and uninstall the Product, and You must destroy all copies of the Product. Your continued use of the Product following any revision to this EULA constitutes your complete and irrevocable acceptance of any and all such changes.

  1. ELIGIBILITY

The use of the Product is not intended for or directed at children under thirteen (13) years of age. By using the Product, You represent and warrant that: (i) You are thirteen (13) years of age or older; (ii) your use of the Product does not violate any applicable law, rule or regulation; and (iii) all registration information You submit is truthful and accurate and You shall maintain and promptly update the accuracy of such information.

Further, if You provide information that is untrue, inaccurate, not current or incomplete, or Piranha Games suspects that such information is untrue, inaccurate, not current or incomplete, Piranha Games has the right to terminate the EULA, and refuse any and all current or future use of the Product.

  1. License Grant

    Subject to the terms and conditions of this EULA, Piranha Games hereby grants You a non-exclusive, non-transferable, non-sublicensable worldwide license to install and use the Product, in whole or in part (the “License”), solely for your personal and non-commercial use, for such time until either You or Piranha Games terminates this EULA. You may only make use of the Product if you comply with all terms and conditions of this EULA. The License becomes effective on the date you accept this EULA.

  2. Restrictions / Code of Conduct

    1. Pursuant to Article 3, you may use the Product for personal and non-commercial use. Consequently, You shall not:

      1. directly or indirectly use the Product commercially or for a promotional purpose;

      2. use the Product on more than one device at a time;

      3. copy, reproduce, display, perform, or otherwise use the Product in a way that is not expressly authorized in this EULA; or

      4. sell, rent, lease, license, distribute, or otherwise transfer the Product.

    2. You shall not reverse engineer, derive source code from, modify, adapt, translate, decompile, or disassemble the Product or create derivative works based on the Product, except as set forth in Article 7 with respect to User Generated Content.

    3. You shall not remove, disable, circumvent, or modify any proprietary notice or label or security technology included on or within the Product.

    4. You agree to use the Product in compliance with all applicable laws, including local laws of the country or region in which you reside or in which you download or use the Product. Consequently, You shall not:

      1. create, develop, distribute, or use any unauthorized software programs, such as “cheat” or “hack” programs, to gain advantage, in any online or other game modes;

      2. use the Product to infringe or violate the rights of any third party, including but not limited to any intellectual property, publicity, or privacy rights; or

      3. use, export, or re-export the Product in violation of any applicable law.

    5. You shall not behave in a manner that is detrimental to the enjoyment of the Product by other users, including but not limited to the following – cheating, harassment, use of abusive or offensive language, game abandonment, game sabotage, spamming, social engineering, or scamming.

    6. Piranha Games may suspend or terminate the EULA, and refuse any and all current or future use of the Product, if You do not comply with any of the above. Any dispute between You and Piranha Games in this regard will be settled pursuant to the terms set forth in Article 13 below.

  3. Ownership

All title, ownership rights and intellectual property rights in and to the Product (including, without limitation, all text, graphics, music or sounds, all messages or items of information, fictional characters, names, themes, objects, scenery, costumes, effects, dialogues, slogans, places, characters, diagrams, concepts, choreographies, videos, audio-visual effects, logos, trademarks, domain names and any other elements which are part of the Product, individually or in combination) and any and all copies thereof are owned by Piranha Games or its licensors.

The Product may contain certain licensed materials and, in that event, Piranha Games’ licensors may protect their rights in the event of any violation of this EULA. Any reproduction or representation of these licensed materials in any way and for any reason is prohibited without Piranha Games’ prior permission and, if applicable, Piranha Games’ licensors’ and representatives’.

Except as expressly set forth in this EULA, all rights not granted hereunder to You are expressly reserved by Piranha Games.

This License confers no title or ownership in the Product and should not be construed as a sale of any rights in the Product.

  1. Changes to the Product

Piranha Games may provide patches, updates, or upgrades to the Product that must be installed in order for You to continue to use the Product. Piranha Games may update the Product remotely and automatically without notifying You, and You hereby consent to Piranha Games applying patches, updates, and upgrades. Piranha Games may modify, suspend, discontinue, substitute, replace, or limit your access to any aspect of the Product at any time. You acknowledge that your use of the Product does not confer on You any interest, monetary or otherwise, in any aspect or feature of the Product, including but not limited to any in-game rewards, achievements, character levels. You also acknowledge that any character data, game progress, game customization or other data related to your use of the Product may cease to be available to You at any time without notice from Piranha Games, including without limitation after a patch, update, or upgrade is applied by Piranha Games. You agree that Piranha Games may stop to support previous versions of the Product upon availability of an updated version. Piranha Games, Piranha Games’ channel partners and associated service providers shall have no maintenance or customer support obligation with respect to the Product.

  1. User Generated Content

Notwithstanding anything to the contrary, Piranha Games allows You to use the Product to create, develop, upload, submit, transmit, or otherwise make available to Piranha Games and other users additions, enhancements, modifications, or other user generated content for the Product (the “User Generated Content”). You shall comply with all third-party applicable terms of service, end user license agreements, and policies relating to such User Generated Content. With respect to each User Generated Content, You will provide complete and accurate disclosures in response to all requests made by Piranha Games regarding the use of intellectual property within the User Generated Content, the User Generated Content's security and data privacy measures and processes, and information pertinent to content ratings, and You are responsible for ensuring that the User Generated Content is, and remains, compatible with the Product.

You represent and warrant that your User Generated Content does not (i) violate applicable law, (ii) violate or infringe any third party rights, including intellectual property rights or privacy, publicity, or moral rights, or (iii) contain any viruses or malicious code or content, such as any software that interferes with, disrupts, damages, or provides unauthorized access to devices, servers, networks or other properties or services of any third party. Piranha Games reserves the right to take down any User Generated Content in its discretion.

Piranha Games will not sell your User Generated Content unless You have entered into a separate agreement with Piranha Games permitting it to do so. You acknowledge and agree that (i) You are not entitled to any compensation by Piranha Games for your User Generated Content unless expressly provided in a separate agreement with Piranha Games, (ii) Piranha Games has no obligation to accept, distribute, or make available any of your User Generated Content, and (iii) Piranha Games may forward to You claims or notices that You do not have all necessary rights in and to your User Generated Content.

By submitting User Generated Content to Piranha Games, You hereby grant to Piranha Games a worldwide, non-exclusive, royalty-free license to use, copy, modify, adapt, translate, reproduce in whole or in part, publish, distribute, sell, publicly perform, publicly display and incorporate in other works your User Generated Content for the purpose of enabling end users to install and use the User Generated Content, for the whole legal duration of protection of any intellectual property rights therein.

  1. Data Protection

Piranha Games cares about the protection of your personal data and the respect of your privacy. Under this EULA and in connection with the use of the Product, Piranha Games collects and processes some of your personal data in accordance with applicable data protection regulations. For more information about the processing of your personal data, please see our Privacy Policy accessible via the www.mw5mercs.com website.

  1. disclaimer of warranties and Limitation of Liability

    1. You expressly acknowledge and agree that, to the extent permitted by applicable law, use of the Product is at your sole risk and that the entire risk as to satisfactory quality, performance, accuracy and effort is with You.

    2. To the maximum extent permitted by applicable law, the Product is provided “as is” and “as available”, “with all faults” and without warranty of any kind. Piranha Games and Piranha Games’ licensors hereby disclaim all warranties and conditions with respect to the Product, either express, implied or statutory, including, but not limited to regarding merchantability, satisfactory quality, fitness or suitability for any purpose (whether or not Piranha Games knows or has reason to know of any such purpose), accuracy, quiet enjoyment, and non-infringement of third party rights, or, whether arising under law, by reason of custom or usage in the trade, or by course of dealing.

    3. Piranha Games and Piranha Games’ licensors do not warrant against interference with your enjoyment of the Product, that the functions contained in, or services performed or provided by, the Product will meet your requirements, that the operation of the Product will be uninterrupted or error-free, that any services will continue to be made available, that the Product will be corrected, or that the Product will be compatible or work with any third party software, applications or third party services. Installation of the Product may affect the usability of third party software, applications or third party services.

    4. Without limiting the generality of the foregoing, the Piranha Games Parties make no warranty that (1) the Software or Services will operate properly, (2) the operation of the Software or Services will be uninterrupted or free of bugs, errors, or malware (such as viruses), or (3) any defects in the Software or Services can or will be corrected. This paragraph will apply to the maximum extent permitted by applicable law.

    5. To the maximum extent permitted by applicable law, in no event shall Piranha Games be liable for any loss or damages arising out of or related to your use or inability to use the Product or any third party software or applications in conjunction with the Product. This includes without limitation (a) all losses of any kind, whether in tort (including for negligence or breach of statutory duty), contract, misrepresentation (whether innocent or negligent) or otherwise, (b) direct loss; (c) incidental, special, indirect or consequential losses whatsoever, arising out of or in connection with this EULA or the Product, such as damages for loss of profits, corruption or loss of data, failure to transmit or receive any data, business interruption or any other commercial damages or losses, and even if Piranha Games has been advised of the possibility of such losses.

    6. Further, to the maximum extent permitted by applicable law, the aggregate liability of Piranha Games arising out of or in connection with this EULA or the Product shall not exceed the total amounts You have paid (if any) to Piranha Games or a third party provider for the Product to which the liability relates during the twelve (12) months immediately preceding the events giving rise to such liability. These limitations and exclusions regarding damages apply even if any remedy fails to provide adequate compensation.

    7. Notwithstanding Articles 9.1 to 9.6, these limitations or exclusions of warranty or liability apply only to the extent and limits of applicable law, and are not intended to contradict French public policy provisions. In particular, nothing in this Article 9 shall limit Piranha Games’ liability under French law, in particular for death or bodily injury, or for tort, arising from Piranha Games’ negligence, for fraud or fraudulent misrepresentation. Also, nothing in this EULA shall limit or exclude the legal warranty of conformity under Articles L.217-4 and seq. of the French consumer code, or the hidden/latent defects warranty under Articles 1641 and seq. of the French civil code (see Appendix A, below).

  2. Indemnity

You agree to indemnify and hold harmless Piranha Games and its respective employees, officers, directors, agents, contractors, and other representatives from all claims, demands, actions, losses, liabilities, and expenses (including attorneys’ fees, costs, and expert witnesses’ fees) that arise from or in connection with (a) any claim that, if true, would constitute a breach by You of this EULA or negligence by You, (b) any act or omission by You in using the Product, or (c) any claim of infringement or violation of any third-party intellectual property rights arising from Piranha Games’ use of your User Generated Content. You agree to reimburse Piranha Games on demand for any payments made or loss suffered by Piranha Games, whether in a court judgment or settlement, based on any matter covered by this Article10.

  1. Term and termination

    1. You and Piranha Games may terminate this EULA, at any time, for any reason, for instance in case Piranha Games decides to discontinue offering and/or supporting the Product. Termination by Piranha Games will be effective after a reasonable notice to You. By exception, this EULA will terminate automatically if You fail to comply with its terms. Upon termination for any reason, You must immediately uninstall the Product and destroy all copies of the Product in your possession.

    2. Except as expressly stated otherwise herein or to the extent required by law, all payments and fees are non-refundable under all circumstances, regardless of whether or not this EULA has been terminated.

    3. Obligations under Article 9 with respect to disclaimer of warranties and limitation of liability, and Article 10 with respect to indemnity, shall survive after the expiry or termination of this EULA for any cause whatsoever.

  2. Withdrawal right

    1. If you have purchased the Product from a third-party, You may have a statutory or a contractual right to request a refund of the Product. We invite You to check this in this third parties’ terms and conditions. You will not be able to exercise this right by contacting Piranha Games.

    2. If You have purchased the Product directly from Piranha Games:

If You are domiciled in a European Union member country, You have a statutory right to withdraw from your purchase. The right to withdraw from the purchase of a digital content expires fourteen (14) days after the purchase, unless You have agreed otherwise.

To exercise this right, You must inform Piranha Games of your decision to withdraw from the purchase by an unequivocal statement (e.g. by a letter sent to Piranha Games, 303-3600 Gilmore Way, Burnaby, BC, Canada). You may use the withdrawal form reproduced below, but it is not mandatory. To meet the deadline, it is sufficient for You to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

If You exercise your right of withdrawal, You will be reimbursed of all your payments in the 14 days following the moment we are infirmed of your decision to withdraw. We will reimburse You using the same means of payment as You used for the initial transaction, unless You have expressly agreed otherwise; in any event, You will not incur any fees as a result of such reimbursement.

Pursuant to European Law, the statutory right of withdrawal is not applicable to the supply of digital content, which is not supplied on a tangible medium if the performance has begun with the consumer’s prior express consent and his acknowledgment that he thereby loses his right of withdrawal.

  1. Governing Law and Jurisdiction

    1. This Agreement is governed by the law of the country where You have your habitual residence.

    2. You are invited to contact us directly to find an amicable solution to any dispute arising out of or in connection with this EULA. You may also file your complaint on the European Commission’s Online Dispute Resolution website. If an amicable solution cannot be reached, You may bring proceedings in the courts for the place where you are domiciled.

  2. Miscellaneous

    1. ASSIGNMENT

Neither Party may assign its rights or obligations under this EULA absent the prior written consent of the other Party, except to any of Piranha Games’ subsidiaries or affiliates or in the context of a merger, acquisition, sale or other transaction involving all or substantially all of the assets pertaining to the subject matter of this EULA, in which case Piranha Games in its sole discretion may assign its rights and obligations under this EULA.

  1. UNENFORCEABLE PROVISIONS AND SEVERABILITY

If any of the provisions of this EULA are held to be void or unenforceable, then such void or unenforceable provisions shall be replaced by valid and enforceable provisions that will achieve as far as possible the economic business intentions of the Parties. However the remainder of this EULA will remain in full force and effect, provided that the material interests of the Parties are not affected, i.e. the Parties would presumably have concluded this EULA without the unenforceable provisions.

  1. WAIVER

The failure by either Party to require strict performance and/or observance of any obligation, term, provision or condition under this EULA will neither constitute a waiver thereof nor affect in any way the right of the respective Party to require such performance and/or observance. The waiver by either Party of a breach of any obligation, term, provision or condition hereunder shall not constitute a waiver of any subsequent breach thereof or of any other obligation, term, provision or condition.

Appendix A

Article L217-4 du Code de la consommation:

Le vendeur livre un bien conforme au contrat et répond des défauts de conformité existant lors de la délivrance.

Il répond également des défauts de conformité résultant de l'emballage, des instructions de montage ou de l'installation lorsque celle-ci a été mise à sa charge par le contrat ou a été réalisée sous sa responsabilité.

Article L217-5 du Code de la consommation:

Le bien est conforme au contrat :

1° S'il est propre à l'usage habituellement attendu d'un bien semblable et, le cas échéant :

- s'il correspond à la description donnée par le vendeur et possède les qualités que celui-ci a présentées à l'acheteur sous forme d'échantillon ou de modèle ;

- s'il présente les qualités qu'un acheteur peut légitimement attendre eu égard aux déclarations publiques faites par le vendeur, par le producteur ou par son représentant, notamment dans la publicité ou l'étiquetage ;

2° Ou s'il présente les caractéristiques définies d'un commun accord par les parties ou est propre à tout usage spécial recherché par l'acheteur, porté à la connaissance du vendeur et que ce dernier a accepté.

Article L217-6 du Code de la consommation:

Le vendeur n'est pas tenu par les déclarations publiques du producteur ou de son représentant s'il est établi qu'il ne les connaissait pas et n'était légitimement pas en mesure de les connaître.

Article L217.7 du Code de la consommation:

Les défauts de conformité qui apparaissent dans un délai de vingt-quatre mois à partir de la délivrance du bien sont présumés exister au moment de la délivrance, sauf preuve contraire.

Pour les biens vendus d'occasion, ce délai est fixé à six mois.

Le vendeur peut combattre cette présomption si celle-ci n'est pas compatible avec la nature du bien ou le défaut de conformité invoqué.

Article L217.8 du Code de la consommation:

L'acheteur est en droit d'exiger la conformité du bien au contrat. Il ne peut cependant contester la conformité en invoquant un défaut qu'il connaissait ou ne pouvait ignorer lorsqu'il a contracté. Il en va de même lorsque le défaut a son origine dans les matériaux qu'il a lui-même fournis.

Article L217.9 du Code de la consommation:

En cas de défaut de conformité, l'acheteur choisit entre la réparation et le remplacement du bien.

Toutefois, le vendeur peut ne pas procéder selon le choix de l'acheteur si ce choix entraîne un coût manifestement disproportionné au regard de l'autre modalité, compte tenu de la valeur du bien ou de l'importance du défaut. Il est alors tenu de procéder, sauf impossibilité, selon la modalité non choisie par l'acheteur.

Article L217.10 du Code de la consommation:

Si la réparation et le remplacement du bien sont impossibles, l'acheteur peut rendre le bien et se faire restituer le prix ou garder le bien et se faire rendre une partie du prix.

La même faculté lui est ouverte :

1° Si la solution demandée, proposée ou convenue en application de l'article L. 217-9 ne peut être mise en œuvre dans le délai d'un mois suivant la réclamation de l'acheteur ;

2° Ou si cette solution ne peut l'être sans inconvénient majeur pour celui-ci compte tenu de la nature du bien et de l'usage qu'il recherche.

La résolution de la vente ne peut toutefois être prononcée si le défaut de conformité est mineur.

Article L217.11 du Code de la consommation:

L'application des dispositions des articles L. 217-9 et L. 217-10 a lieu sans aucun frais pour l'acheteur.

Ces mêmes dispositions ne font pas obstacle à l'allocation de dommages et intérêts.

Article L217.12 du Code de la consommation:

L'action résultant du défaut de conformité se prescrit par deux ans à compter de la délivrance du bien.

Article L217.13 du Code de la consommation:

Les dispositions de la présente section ne privent pas l'acheteur du droit d'exercer l'action résultant des vices rédhibitoires telle qu'elle résulte des articles 1641 à 1649 du code civil ou toute autre action de nature contractuelle ou extracontractuelle qui lui est reconnue par la loi.

Article L217.14 du Code de la consommation:

L'action récursoire peut être exercée par le vendeur final à l'encontre des vendeurs ou intermédiaires successifs et du producteur du bien meuble corporel, selon les principes du code civil.

Article 1641du Code civil :

Le vendeur est tenu de la garantie à raison des défauts cachés de la chose vendue qui la rendent impropre à l'usage auquel on la destine, ou qui diminuent tellement cet usage que l'acheteur ne l'aurait pas acquise, ou n'en aurait donné qu'un moindre prix, s'il les avait connus.

Article 1642 du Code civil :

Le vendeur n'est pas tenu des vices apparents et dont l'acheteur a pu se convaincre lui-même.

Article 1642-1 du Code civil :

Le vendeur d'un immeuble à construire ne peut être déchargé, ni avant la réception des travaux, ni avant l'expiration d'un délai d'un mois après la prise de possession par l'acquéreur, des vices de construction ou des défauts de conformité alors apparents.

Il n'y aura pas lieu à résolution du contrat ou à diminution du prix si le vendeur s'oblige à réparer.

Article 1643 du Code civil :

Il est tenu des vices cachés, quand même il ne les aurait pas connus, à moins que, dans ce cas, il n'ait stipulé qu'il ne sera obligé à aucune garantie.

Article 1644 du Code civil :

Dans le cas des articles 1641 et 1643, l'acheteur a le choix de rendre la chose et de se faire restituer le prix, ou de garder la chose et de se faire rendre une partie du prix.

Article 1645 du Code civil :

Si le vendeur connaissait les vices de la chose, il est tenu, outre la restitution du prix qu'il en a reçu, de tous les dommages et intérêts envers l'acheteur.

Article 1646 du Code civil :

Si le vendeur ignorait les vices de la chose, il ne sera tenu qu'à la restitution du prix, et à rembourser à l'acquéreur les frais occasionnés par la vente.

Article 1646-1 du Code civil :

Le vendeur d'un immeuble à construire est tenu, à compter de la réception des travaux, des obligations dont les architectes, entrepreneurs et autres personnes liées au maître de l'ouvrage par un contrat de louage d'ouvrage sont eux-mêmes tenus en application des articles 1792, 1792-1, 1792-2 et 1792-3 du présent code.

Ces garanties bénéficient aux propriétaires successifs de l'immeuble.

Il n'y aura pas lieu à résolution de la vente ou à diminution du prix si le vendeur s'oblige à réparer les dommages définis aux articles 1792, 1792-1 et 1792-2 du présent code et à assumer la garantie prévue à l'article 1792-3.

Article 1647 du Code civil :

Si la chose qui avait des vices a péri par suite de sa mauvaise qualité, la perte est pour le vendeur, qui sera tenu envers l'acheteur à la restitution du prix et aux autres dédommagements expliqués dans les deux articles précédents.

Mais la perte arrivée par cas fortuit sera pour le compte de l'acheteur.

Article 1648 du Code civil :

L'action résultant des vices rédhibitoires doit être intentée par l'acquéreur dans un délai de deux ans à compter de la découverte du vice.

Dans le cas prévu par l'article 1642-1, l'action doit être introduite, à peine de forclusion, dans l'année qui suit la date à laquelle le vendeur peut être déchargé des vices ou des défauts de conformité apparents.

Article 1649 du Code civil :

Elle n'a pas lieu dans les ventes faites par autorité de justice.
